AI SaaS Template License Agreement

This License Agreement ("Agreement") is made between aisaastemplate.com ("We" or "Us"), represented by Leon Wei, whose contact information is [email protected], and you, the licensee ("You"), regarding your use of the AI SaaS Template ("Product"). By downloading, accessing, or using the Product, you agree to abide by this Agreement's terms.

1. License Grant

1.1 Personal License

We grant you a non-exclusive, non-transferable, and non-sublicensable license to:

• Develop unlimited projects.
• Use for both personal and commercial projects.

1.2 Team License

Under this Agreement, you are granted a non-exclusive, non-transferable, and non-sublicensable license to:

• Develop unlimited projects with your team (5 seats included by default).
• Share the code within your team.

2. Usage Restrictions

You must not:

• Modify, reverse engineer, or create derivatives of the Product.
• Remove or alter any proprietary notices on the Product.
• Use the Product in violation of laws, regulations, or third-party rights.
• Sub-license, lease, or transfer the Product or rights under this Agreement.

3. Ownership and Intellectual Property

All ownership and intellectual property rights in the Product remain with us. This Agreement grants no ownership rights to you.

4. No Warranty

THE PRODUCT IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, IMPLIED OR EXPRESS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5. Liability Limitation

WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF ADVISED OF SUCH DAMAGES' POSSIBILITY.

6. Governing Law

This Agreement is governed by the laws of the United States, State of Washington, excluding its conflicts of law rules. Any disputes related to this Agreement will be exclusively resolved in the courts of Washington.

7. Entire Agreement

This Agreement is the entire understanding between you and us regarding the Product, superseding all previous agreements, representations, and understandings.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
